General Counsel

Reporting to the CEO, the General Counsel (“GC”) has overall legal responsibility for the execution of Earthrise’s business plan. The GC manages the legal affairs of the company, enables the efficient and effective use of legal services, performs legal services in-house, manages outside counsel, and ensures the company complies with all relevant laws and regulations. Additionally, the GC is responsible for commercial legal matters and corporate governance. The GC is a member of the Executive Leadership Team.
KEY RESPONSIBILITIES
    • Monitor and analyze risks and opportunities for all relevant current and potential policies, laws, and regulations related to the evolution and execution of Earthrise’s business plan, at the federal, state, and local levels.
    • Oversee and manage all aspects of legal affairs associated with the company’s business activities, including but not limited to real estate, financing, acquisitions, and commercial transactions.
    • Ensure all regulatory and legal obligations of operating the business are in compliance and associated risks are identified and managed.
    • Working with the Executive Leadership Team, select and manage all outside counsel.
    • Own Board-level reporting and communications on behalf of legal function.
IDEAL EXPERIENCE
15+ years of legal experience
Relevant legal experience gained preferably with a well-regarded law firm followed by progressively senior roles as an associate/deputy/business unit general counsel, ideally with an renewables/power developer. Private equity expertise is desired.
Breadth of legal experience
A hands-on corporate generalist with experience handling commercial law, corporate governance, labor and employment, litigation, intellectual property, and ethics and compliance, among other areas. Knowledge of state and federal regulatory environment is preferable.
M&A and commercial transactions expertise
Deep expertise handling corporate/transactional matters including complex mergers and acquisitions, project finance, tax equity, joint ventures, strategic partnerships, and negotiating and structuring major long-term contracts.
Proven counsel to senior leadership and boards of directors
An established track record of successfully providing sound guidance to a CEO and executive team. Experience serving as a trusted counselor and advisor to a board of directors.
Management experience
Experience leading a multi-disciplinary legal function, establishing strategy, and successfully driving execution of key priorities and objectives. Experience recruiting, hiring, managing, developing, and retaining diverse legal and leadership talent.

The General Counsel must have the ability to work in a team environment and possess strong interpersonal and communication skills. This person must be willing and able to challenge the status quo, determine the need and readiness for change, and support new and creative solutions.
Business Acumen
A lawyer with strong analytical and conceptual reasoning skills who handles complexity well. Demonstrated skill in providing legal services to support a fast-moving business; a lawyer who uses knowledge of the law and business to advise on risk/reward trade-offs evaluating legal issues in the context of larger business goals. Understands financial statements and other business imperatives from a holistic perspective. Appreciates the important drivers of revenue and profit growth in different business models. Has sound judgment. Entrepreneurial and someone who understands what it is like to be a part of a high-performing management team. Engaging and interested in being deeply involved with the business; the ability to participate and add value in strategy meetings with the senior management team. A true business partner.
